1. Who we are
These terms apply to every quote, order and agreement with De Smedt Meridian CommV, trading as DRP BuildLab, Honingstraat 1D, 2220 Hallaar, Belgium, company number 1033.313.383 (VAT BE 1033.313.383), info@drpbuildlab.com, +32 473 74 44 31 ("DRP BuildLab", "we").
2. Scope
By paying or accepting a quote online, you confirm that you have read and accept these terms and our privacy policy. Deviations apply only if we confirm them in writing. A client's own terms do not apply unless we expressly accept them in writing.
"Business client": anyone ordering for their trade, business or profession. "Consumer": a natural person ordering for purposes outside their trade, business or profession.
3. Quotes and prices
A quote is valid for 14 days unless it states otherwise. Prices are in euros. For consumers they include VAT; for business clients VAT is shown separately. A partner discount applies only when it is shown on the quote.
4. Payment
You pay online through Mollie (including Bancontact, Visa and Mastercard) or by bank transfer using the structured reference on your invoice. We never receive or store card details. Invoices are issued through Billit and sent by email or via Peppol. Late payment by a business client incurs the interest and compensation set by the Belgian Act of 2 August 2002 on combating late payment. We may suspend work while an overdue invoice is unpaid.
5. Performance and delivery
We carry out the work as described in the quote. Stated timelines are indicative unless expressly agreed otherwise. The product counts as delivered on the day we tell you by email that it is ready (for example with a link to the website or the files).
6. Acceptance after delivery (business clients)
If you report no remarks in writing (by email to info@drpbuildlab.com) within 7 calendar days of delivery, the product is deemed finally accepted without reservation. That acceptance covers visible defects.
Requests or remarks made after this 7-day period are treated as a new order, quoted and invoiced separately. Anything we reasonably recognise as a defect within the period is fixed free of charge.
7. Consumers
If you are a consumer, article 6 does not apply to your detriment. You keep the statutory legal guarantee of conformity (articles 1649bis ff. of the former Belgian Civil Code) and every other right the law grants you mandatorily.
Right of withdrawal. For a distance contract, as a consumer you have 14 days to withdraw without giving a reason (Book VI of the Belgian Code of Economic Law), by emailing info@drpbuildlab.com. If you expressly ask us to start within that period, you pay for the part already performed if you withdraw. The right lapses once the service has been fully performed with your express consent, and does not apply to work made to your specifications, insofar as the law allows.
8. Intellectual property
Once paid in full, you receive the right to use the delivered work for your own business. Software, templates and components we also use for other clients remain ours. We may show the work in our portfolio unless you refuse in writing.
9. Liability
Our liability is limited to the amount you paid for the order concerned. We are not liable for indirect loss such as lost profit, loss of data, or loss caused by third-party services (hosting, domain registration, payment providers). These limits do not apply in case of intent, gross negligence, or where the law forbids them, in particular towards consumers.
10. Complaints and disputes
Complaints about an invoice must be made within 8 days of receipt. Belgian law governs these terms. Disputes go to the courts of the judicial district of Antwerp, without prejudice to a consumer's right to choose the court of their domicile. Consumers may also contact the Consumer Ombudsman Service (consumentenombudsdienst.be).
11. Language
These terms exist in Dutch and English. In case of a difference, the Dutch text prevails.
